Yunnan Jianzhijia Health-Chain Co.Ltd(605266) february 28 announced that it plans to acquire and restructure the 80% – 100% equity of Tangren medicine held by the shareholders of Hebei Tangren Medicine Co., Ltd. by paying cash, so as to realize the holding or wholly-owned control of Tangren medicine.
According to the announcement, on February 28, the company signed the equity acquisition intention agreement with Wang Guanjue, Zhao Ming, Wang Chengju, Zhao Liang, Zhao Chaochao, Tangshan Lubei District Jiaren enterprise management consulting service center (limited partnership) and Tangren pharmaceutical, and the parties reached a preliminary intention on the 80% – 100% equity of Tangren pharmaceutical held by the shareholders of Tangren pharmaceutical after the company’s cash transfer and reorganization, After the transaction is completed, the company will control the target company. The proportion of equity to be finally acquired, the counterparty and the transaction price shall be determined by the parties to the transaction through negotiation.
It is understood that both Tangren pharmaceutical and Yunnan Jianzhijia Health-Chain Co.Ltd(605266) are engaged in pharmaceutical chain retail business. Tangren pharmaceutical has a high brand influence in Hebei and Liaoning Province, with about 660 Direct stores. The stores of Tang people’s medicine in Hebei Province are distributed in Tangshan and Qinhuangdao, which are the chain pharmacies with the first business scale in the two regions; Stores in Liaoning Province are distributed in Huludao, Benxi, Jinzhou, Yingkou, Dandong and Shenyang. According to the list of top 100 chain drugstores in China released by Zhongkang information, Tangren medicine ranked 34th in the industry in 20202021.
Statistics show that as of September 2021, the company has 2687 pharmaceutical and convenience stores in total. After the transaction is completed, Tangren pharmaceutical stores will be included in the scope of the company’s management. The company will add about 660 stores, and successfully enter into the Bohai rim business centered on Beijing, Tianjin and Hebei with rapid economic development and continuous population accumulation. The company will effectively improve the number of stores, the coverage of target market areas and market penetration, and the business scale will be significantly expanded.
