Hunan Corun New Energy Co.Ltd(600478) announced on December 23 that the company’s holding subsidiary Hunan Corun New Energy Co.Ltd(600478) Hybrid Technology Co., Ltd. (hereinafter referred to as CHS company) plans to transfer the patent rights of 15 patented technologies it holds to Chongqing Changan Automobile Company Limited(000625) (hereinafter referred to as Chongqing Changan Automobile Company Limited(000625) ) at the price of 85.492 million yuan.
The announcement shows that the above 15 patented technologies specifically include 10 battery pack technologies, 4 vehicle control technologies and 1 gearbox technology. As of the benchmark date, the book value of the 15 patented technologies was 62.4681 million yuan, the appraisal value was 85.57 million yuan, the appraisal value added was 23.1019 million yuan, and the appreciation rate was 36.98%. After consensus by all parties, the final transaction price is 85.492 million yuan.
The announcement said that this Chongqing Changan Automobile Company Limited(000625) is based on the research and judgment of the trend of the hybrid market and combined with its future product planning, to purchase initial patented technologies in battery pack management, vehicle control and energy recovery from CHS company, so as to improve the comprehensive performance of its hybrid vehicle products.
Hunan Corun New Energy Co.Ltd(600478) said that as a hybrid system assembly technical service platform, CHS company’s technical service scope includes technology transfer, technology license, entrusted development, test and detection, etc. at the same time, CHS company has carried out iterative upgrading of the initial technology of the platform, and the sale of 15 patent technologies will not affect CHS company’s previously authorized patented technology and daily production and operation.
Meanwhile, Hunan Corun New Energy Co.Ltd(600478) said that after preliminary calculation, the profit from the patent transfer is expected to be about 27.64 million yuan, which will be included in the current profit and loss of the company’s consolidated statements.
