Letter of commitment for effective implementation of measures
Whereas Shaanxi Zhongtian Rocket Technology Co.Ltd(003009) (hereinafter referred to as ” Shaanxi Zhongtian Rocket Technology Co.Ltd(003009) ” or “the company”) is planning to publicly issue convertible corporate bonds (hereinafter referred to as “convertible bonds”), according to the opinions of the general office of the State Council on Further Strengthening the protection of the legitimate rights and interests of small and medium-sized investors in the capital market (GBF [2013] No. 110) The requirements of several opinions of the State Council on further promoting the healthy development of the capital market (GF [2014] No. 17) and the guiding opinions on matters related to initial public offering, refinancing and dilution of immediate return for major asset restructuring (CSRC announcement [2015] No. 31) issued by the CSRC, I hereby make the following commitment to take filling measures for the diluted immediate return of Shaanxi Zhongtian Rocket Technology Co.Ltd(003009) convertible bonds issued this time:
1、 Do not transfer benefits to other units or individuals free of charge or under unfair conditions, and do not damage the interests of the company in other ways;
2、 Restrict personal job consumption behavior;
3、 Do not use the company’s assets to engage in investment and consumption activities unrelated to my performance of duties;
4、 Actively promote the link between the remuneration system formulated by the board of directors or the remuneration and assessment committee and the implementation of the company’s compensation and return measures;
5、 If the company formulates and modifies the equity incentive plan in the future, I will actively promote the exercise conditions of the future equity incentive plan to be linked to the implementation of the company’s filling return measures;
6、 I will actively take all necessary and reasonable measures in accordance with the relevant regulations issued by the securities regulatory authorities such as China Securities Regulatory Commission and Shenzhen Stock Exchange in the future, so that the above-mentioned company’s filling return measures can be effectively implemented.
The foregoing commitment is unconditional and irrevocable. If there is any false record, misleading statement or material omission in my aforesaid commitment, I will give full, timely and effective compensation to the company or shareholders. If I violate the above commitments or refuse to fulfill the above commitments, I agree to impose relevant penalties or take relevant management measures on me in accordance with the relevant provisions and rules issued by the securities regulatory authorities such as the CSRC and Shenzhen Stock Exchange.
