1、 Details of the company’s appointment of independent directors
1. Xinjiang Communications Construction Group Co.Ltd(002941) (hereinafter referred to as the “company”), Ms. Gong Qiaoli and Ms. Shen Jianwen, the independent directors of the company, have served in the company for six consecutive years. According to the provisions of the guiding opinions on the establishment of independent director system in listed companies issued by China Securities Regulatory Commission and the guidelines on the performance of independent directors of listed companies issued by Shenzhen Stock Exchange, the continuous service of independent directors shall not exceed six years, The company plans to elect new independent directors, and held the eighth interim meeting of the third board of directors on December 29, which reviewed and approved the proposal on the election of independent directors. This proposal still needs to be submitted to the general meeting of shareholders of the company for deliberation.

On January 14, 2022, the company held the first extraordinary general meeting of shareholders in 2022, deliberated and approved the proposal on the election of independent directors, and agreed to elect Mr. Ni Xiaobin, Ms. Li Wei and Mr. Liu Tao as independent directors of the third board of directors of the company, whose term of office is from the date of adoption of the general meeting of shareholders to the date of expiration of the term of office of the third board of directors of the company.
Mr. Liu Tao and Ms. Li Wei have obtained the qualification of independent directors recognized by Shenzhen Stock Exchange. Mr. Ni Xiaobin promises to participate in the latest independent director qualification training organized by Shenzhen Stock Exchange and obtain the qualification certificate of independent directors.
The total number of directors concurrently serving as senior managers and staff representatives on the board of directors of the company shall not exceed half of the total number of directors of the company.
