1、 Reasons for notifying creditors
Muyuan Foods Co.Ltd(002714) (hereinafter referred to as “the company”) deliberated and approved the proposal on repurchase and cancellation of some restricted shares at the 2021 annual general meeting of shareholders held on May 20, 2022. The company will repurchase and cancel 321542 restricted shares granted to incentive objects that have not yet been lifted. After the completion of this repurchase plan, the registered capital of the company will be changed to 5321760424 yuan.
Note: as the company’s “muyuan convertible bond” is in the stock conversion period, the total share capital continues to change. The above changed share capital of the company is based on the share capital on April 28, 2022.
2、 Relevant information to be known to creditors
The repurchase and cancellation of restricted shares will lead to the reduction of the company’s registered capital. According to the company law of the people’s Republic of China and other relevant laws and regulations, the company hereby notifies the creditors that the creditors have the right to require the company to pay off debts or provide corresponding guarantees on the strength of valid creditor’s rights documents and relevant certificates within 45 days from the date of disclosure of this announcement. If the creditor fails to declare the above requirements to the company within the time limit, the validity of his creditor’s rights will not be affected, and the relevant debts (obligations) will continue to be performed by the company according to the provisions of the original creditor’s rights documents.
