The independent directors\’ independent opinions on the matters related to the 16th interim meeting of the ninth board of directors are in accordance with the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the rules for independent directors of listed companies and other laws and regulations, normative documents and the company’s charter, As an independent director of Infore Environment Technology Group Co.Ltd(000967) (hereinafter referred to as “the company”), based on our independent judgment, we carefully reviewed the relevant documents of the 16th interim meeting of the ninth board of Directors provided by the board of directors of the company, and expressed the following independent opinions:

1、 Independent opinions on the company’s phase II employee stock ownership plan (Draft)

As an independent director of the company, we have carefully reviewed the company’s phase II employee stock ownership plan (Draft) (hereinafter referred to as “draft Stock Ownership Plan”) and relevant materials with a prudent and responsible attitude and based on independent judgment. We hereby express our written confirmation and independent opinions as follows:

1. The convening and voting procedures of the board meeting of the company to review the ESOP comply with the relevant provisions of the company law of the people’s Republic of China, the articles of association and other laws, regulations and normative documents;

2. The company’s employee stock ownership plan complies with the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the guiding opinions on the pilot implementation of employee stock ownership plan by listed companies and other relevant laws, regulations and other normative documents and the articles of association, and there is no prohibition on the implementation of employee stock ownership plan; 3. The company’s employee stock ownership plan follows the principles of “compliance according to law”, “voluntary participation” and “risk bearing”, and there is no situation that damages the rights and interests of the company and all shareholders, or forces employees to participate in the employee stock ownership plan by means of apportionment and forced distribution;

4. The opinions of employees have been fully solicited before the launch of the employee stock ownership plan. The holders determined by the company’s employee stock ownership plan meet the holder conditions specified in relevant laws, regulations and normative documents, meet the criteria for determining the participants specified in the employee stock ownership plan, and their subject qualification as the holders of the company’s employee stock ownership plan is legal and effective;

5. The company’s implementation of ESOP is conducive to deepening the company’s incentive system, improving the company’s long-term and effective incentive and restraint mechanism, further improving the benefit sharing mechanism between the company and employees, improving the company’s cohesion and competitiveness, contributing to the company’s sustainable development and meeting the needs of the company’s long-term development.

To sum up, we unanimously agree that the company will implement the employee stock ownership plan and submit the employee stock ownership plan to the general meeting of shareholders for deliberation.

2、 Independent opinions on the management measures of the company’s phase II employee stock ownership plan

The management measures for the second phase of the company’s employee stock ownership plan comply with the basic provisions of laws, regulations and the articles of association. It is to ensure the smooth implementation of the second phase of the company’s employee stock ownership plan, ensure the standardized operation of the employee stock ownership plan and facilitate the sustainable development of the company.
