Special opinions of independent directors
As an independent director of Shenzhen Wongtee International Enterprise Co.Ltd(000056) (hereinafter referred to as “the company”), in accordance with the company law, the guiding opinions on the establishment of independent director system in listed companies, several provisions on strengthening the protection of the rights and interests of shareholders of social public shares, the working system of independent directors of the company and the relevant provisions of the articles of association, based on the attitude of seeking truth from facts, being serious and responsible, and based on independent judgment, We hereby express the following independent opinions on the relevant proposals considered at the sixth extraordinary meeting of the ninth board of directors in 2022:
1、 Independent opinions on signing the framework agreement on reconciliation and debt repayment
The board of directors of the company provided us with relevant materials before considering the proposal. After careful review, we believe that the signing of the settlement agreement and the property purchase framework agreement by the company is conducive to solving the problem of creditor’s rights and debts. The signing of the agreement has fulfilled the necessary examination and approval procedures, and the related directors have avoided voting at the board of directors. The deliberation procedures comply with the relevant provisions of the company law, the securities law and the articles of association, and there is no damage to the interests of the company and shareholders. To sum up, we agree that the company will sign the settlement agreement and the property purchase framework agreement, and agree to submit this proposal to the general meeting of shareholders of the company for deliberation.
