Announcement on the remuneration of directors and senior management of the company in 2022
The company and all members of the board of directors guarantee that the information disclosed is true, accurate and complete without false records, misleading statements or major omissions.
In accordance with the provisions of the articles of association of Omh Science Group Co.Ltd(300486) (hereinafter referred to as “the company”), in combination with the actual situation of the company’s operation and development, and with reference to the salary level of the industry and region, and after deliberation and approval at the third meeting of the eighth board of directors, the salary scheme for directors, supervisors and senior managers of the company in 2022 is formulated, as follows:
1、 Applicable to: directors, supervisors and senior managers of the company.
2、 Application period: the scheme is approved by the general meeting of shareholders until the new salary scheme is approved. 3、 Salary standard
1. Remuneration scheme for directors of the company
(1) Directors holding management positions in the company will receive remuneration according to their management positions. The chairman will pay an allowance of 1500 yuan / month, and other non independent directors will pay an allowance of 1000 yuan / month.
(2) The allowance for independent directors is 120000 yuan / year (before tax).
2. Remuneration scheme for supervisors of the company
Supervisors holding management positions in the company shall receive remuneration according to their actual work positions. The chairman of the board of supervisors shall pay an allowance of 1500 yuan / month, and other supervisors shall pay an allowance of 1000 yuan / month.
3. Compensation scheme for senior management of the company
The senior managers of the company shall receive salary according to the specific management positions they hold in the company and the relevant salary regulations of the company, and each person shall be paid an allowance of 1000 yuan / month.
4、 Other provisions
1. The salaries of directors, supervisors and senior managers of the company shall be paid on a monthly basis; The allowance for independent directors shall be paid monthly; The expenses actually incurred by directors and supervisors due to attending the company’s meetings shall be reimbursed by the company.
2. If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, the remuneration shall be calculated and paid according to their actual term of office.
3. The individual income tax related to the above salary shall be uniformly withheld and paid by the company.
4. The plan is reviewed and approved by the board of directors and takes effect after being approved by the general meeting of shareholders of the company.
