Explanation of shareholding and reduction commitments of outgoing directors, supervisors and senior executives
1、 Departure of directors of the company
Hiconics Eco-Energy Technology Co.Ltd(300048) (hereinafter referred to as “the company”) recently received a written resignation application from Mr. Zhao Dongye, a non independent director of the company. Mr. Zhao Dongye resigned as a non independent director of the Fifth Board of directors of the company due to job transfer and resigned as a member of the audit committee of the board of directors of the company. After his resignation, Mr. Zhao Dongye will no longer hold any position in the company.
Mr. Zhao Dongye’s original term of office was from May 21, 2020 to May 21, 2023. As of the date of this announcement, Mr. Zhao Dongye did not hold the company’s shares, there were no commitments that should be fulfilled but not fulfilled, and his spouse and other immediate family members did not hold the company’s shares.
After leaving office, Mr. Zhao Dongye will strictly abide by the guidelines for the standardized operation of companies listed on the gem of Shenzhen Stock Exchange, the rules for the management of shares held by directors, supervisors and senior managers of listed companies and their changes, the detailed rules for the implementation of share reduction by shareholders, directors, supervisors and senior managers of listed companies of Shenzhen Stock Exchange and other corresponding laws Regulations. During the term of office determined at the time of taking office and within six months after the expiration of his term of office, he shall continue to abide by the following restrictive provisions:
1. The shares transferred each year shall not exceed 25% of the total shares of the company held by them;
2. He shall not transfer his shares of the company within half a year after his resignation;
3. Other provisions of the company law of the people’s Republic of China on the transfer of shares of directors, supervisors and senior managers.
