As an independent director of Bank Of Shanghai Co.Ltd(601229) (hereinafter referred to as “the company”), we reviewed the company’s proposal on related party transactions with Santander bank and related enterprises in advance based on the independent and objective position and in a prudent and responsible manner in accordance with laws, administrative regulations, regulatory rules and normative documents, the Bank Of Shanghai Co.Ltd(601229) articles of association and the measures for the administration of Bank Of Shanghai Co.Ltd(601229) related party transactions, The pre approved opinions are as follows:
1、 The related party transactions of the company’s credit line of 4.16 billion yuan equivalent to Santander bank and related enterprises belong to the company’s normal credit business, will not have a significant impact on the company’s normal business activities and financial status, comply with the provisions of relevant national laws, regulations and policies, and will not damage the interests of the company, shareholders, especially minority shareholders.
2、 Agree to submit the proposal on related party transactions with Santander bank and related enterprises to the board of directors of the company for deliberation.
