Beingmate Co.Ltd(002570) (hereinafter referred to as “the company”) held the 13th meeting of the 8th board of directors on January 10, 2021. Before this meeting, the company provided us with relevant documents of the proposal on the expected daily connected transactions in 2022. In accordance with the company law, the securities law, the guidelines for the governance of listed companies, the Listing Rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and other relevant laws and regulations, normative documents and the articles of Association, we are independent directors of the company, Based on the attitude of seeking truth from facts, being serious and responsible, the principles of fairness, impartiality and good faith, and based on the position of independent judgment, we hereby give the following prior approval opinions on the company’s proposal on daily connected transactions in 2022:
We have conducted pre audit on the proposal on daily connected transactions expected in 2022 submitted by the company. We believe that the company’s daily related party transaction plan for 2022 is formulated according to the needs of business development and the principles of fairness and voluntariness. The pricing principle is fair and does not violate the principles of openness, fairness and impartiality. We urge the company to always pay attention to the necessity and fairness of related party transactions when issuing transaction orders, and effectively prevent acts detrimental to the interests of the company and shareholders.
To sum up, we unanimously agree to submit the proposal on daily connected transactions expected in 2022 to the 13th meeting of the 8th board of directors of the company for deliberation, and the connected directors shall avoid voting.
