As an independent director of Shanxi Taigang Stainless Steel Co.Ltd(000825) , we checked the resignation report submitted by Mr. Li Hua, vice chairman and general manager of the company, to the board of directors on April 15, 2022, and applied for resignation as part-time general manager of the company, and expressed the following independent opinions: 1. After verification, due to the change of position, the reason for Mr. Li Hua’s resignation as general manager of the company is consistent with the actual situation; 2. After resigning from the post of general manager of the company, Mr. Li Hua continued to serve as vice chairman of the eighth board of directors and member of the special committee of the board of directors; 3. Mr. Li Hua’s resignation will not affect the operation of the company, and his resignation report will take effect when it is delivered to the board of directors. We agree to Mr. Li Hua’s resignation as general manager of the company.
We express the following independent opinions on the appointment of Mr. Shang Jiajun as the general manager of the company at the 22nd Meeting of the eighth board of directors held on April 16, 2022: 1. Mr. Shang Jiajun meets the employment conditions specified in the company law and the articles of association and is qualified to serve as senior managers of the company; 2. The review procedure is legal and effective. We agree to the company’s appointment of Mr. Shang Jiajun.
