According to the actual performance completed by the company in 2021 and the provisions of the company’s compensation management system for directors, supervisors and senior managers, the company assessed the senior managers and determined that the total compensation of senior managers in 2021 was 6.8893 million yuan. In accordance with the standards for the governance of listed companies, the articles of association, the detailed rules for the implementation of the remuneration and assessment committee of the board of directors, the remuneration management system for directors, supervisors and senior managers, and in combination with the industry conditions, the actual operation of the company and the business assessment requirements, the company plans the remuneration scheme for directors, supervisors and senior managers in 2022 as follows:

(1) Scope of application: senior managers receiving salary in the company.

(2) Application period: from January 1, 2022 to December 31, 2022

(3) Salary standard

Senior managers in the company receive remuneration according to their specific positions in the company and the relevant salary and performance appraisal management system of the company.

3、 Other

(1) The above salaries are pre tax amounts, and the company’s senior managers shall pay individual income tax according to law. (2) The company shall bear the relevant expenses incurred by the senior management of the company in attending the meetings of the board of directors, the board of supervisors, the general meeting of shareholders and other duties.

4、 Opinions of independent directors

The performance appraisal of senior managers of the company takes full account of the salary level of the company’s industry and region, the company’s business performance and the responsibilities of senior managers, and gives better consideration to the incentive and restraint mechanism, which is conducive to urging senior managers to perform their duties diligently and improve their work performance, so as to further improve the operating efficiency of the company and promote the sustainable and stable development of the company. The formulation and implementation procedures of the remuneration scheme of the company’s senior managers comply with the provisions of relevant laws and regulations, the articles of association and the remuneration management system for directors, supervisors and senior managers, and there is no damage to the interests of the company and shareholders. Therefore, we unanimously agree on the salary implementation of senior managers in 2021 and the salary plan in 2022.
