On April 12, 2022, Blue Sail Medical Co.Ltd(002382) (hereinafter referred to as “the company”) held the 22nd Meeting of the 5th board of directors, deliberated and adopted the proposal on the remuneration scheme for directors, supervisors and senior managers in 2022. The relevant contents are hereby announced as follows:

1、 Applicable objects of salary scheme

Directors, supervisors and senior managers of the company

2、 Applicable period of compensation scheme

January 1, 2022 to December 31, 2022

3、 Salary standard

1. Remuneration scheme for non independent directors

Non independent directors holding management positions in the company shall receive remuneration according to their management positions, and no longer receive remuneration for directors separately; The remuneration standard of Mr. Li Zhenping, a non independent director who does not hold a management position in the company, remains unchanged.

2. Remuneration scheme for independent directors

The allowance for independent directors of the company is RMB 100000 / year (before tax).

3. Remuneration scheme for supervisors

Supervisors holding management positions in the company will receive remuneration according to their management positions, and will no longer receive remuneration for supervisors separately; Supervisors who do not hold management positions in the company shall not receive remuneration in the company.

4. Senior management compensation scheme

Senior managers of the company shall be paid according to the specific management positions they hold in the company and the relevant salary regulations of the company. The salary includes basic salary and performance salary. The basic salary is paid every month according to the standard. The performance salary is paid at the end of the year according to the achievement of performance in 2022 and the value creation of the company’s operation and development.

4、 Other

1. The allowance for independent directors of the company shall be paid once every six months, and the remuneration of non independent directors, senior managers and supervisors who receive remuneration in the company shall be paid monthly.

2. If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, the remuneration shall be calculated and paid according to their actual term of office.

The plan will take effect after being submitted to the 2021 annual general meeting of shareholders for deliberation and approval.

5、 Independent opinions of independent directors

According to the salary level of the industry and region, combined with the actual situation of the company’s operation and development, the company’s salary scheme is reasonable and in line with the actual situation of the company, which is conducive to improving the competitiveness of the company, ensuring the realization of the company’s development strategic objectives and in line with the interests of investors. It is agreed to submit this proposal to the 2021 annual general meeting of shareholders of the company for deliberation.
