Hangzhou Dadi Haiyang Environmental Protection Co.Ltd(301068) (hereinafter referred to as “the company”) held the 8th meeting of the second board of directors on March 31, 2022, deliberated and adopted the proposal on the remuneration scheme for directors, supervisors and senior managers in 2022.
In order to further improve the salary management and performance appraisal of the company’s directors, supervisors and senior managers, and promote the company’s benefit growth and sustainable development, in accordance with the Hangzhou Dadi Haiyang Environmental Protection Co.Ltd(301068) articles of association and the working rules of the salary and appraisal committee of the board of directors and other relevant provisions, and comprehensively considering the company’s business conditions, the salary level and job contribution of industries and regions, the company has formulated the salary standards of directors, supervisors and senior managers in 2022 The remuneration scheme of senior managers is as follows:
1、 Applicable object
Directors, supervisors and senior managers of the company.
2、 Applicable period
From January 1, 2022 to December 31, 2022.
3、 Salary standard
1. Remuneration scheme for directors of the company
(1) The remuneration of non independent directors of the company shall be paid according to their actual positions in the company, and they shall not receive director allowance.
(2) The allowance for independent directors of the company is 60000 yuan / year (before tax).
2. Remuneration scheme for supervisors of the company
The company’s supervisors are paid according to their actual working positions in the company, but they do not receive supervisor allowance.
3. Compensation scheme for senior management of the company
Senior managers of the company shall receive salaries according to their specific positions in the company and the company’s salary management system.
4、 Other provisions
1. The salaries of non independent directors, supervisors and senior managers of the company shall be paid on a monthly basis; The allowance for independent directors is paid monthly.
2. If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, the remuneration shall be calculated and paid according to their actual term of office.
3. The individual income tax related to the above salary shall be uniformly withheld and paid by the company.
The remuneration scheme of the above directors and supervisors shall be implemented after being submitted to the 2021 annual general meeting of shareholders of the company for deliberation and approval, and the remuneration scheme of senior managers shall be implemented after being reviewed and approved by the board of directors of the company.
