The 12th meeting of the 4th board of directors of Juneyao Airlines Co.Ltd(603885) (hereinafter referred to as ” Juneyao Airlines Co.Ltd(603885) ” or “the company”) was held by means of communication voting on April 2, 2022. Notice of meeting
It will be sent by email, telephone, etc. on March 28, 2022. The meeting was convened and presided over by Mr. Wang junjin, chairman of the company. All directors of the company carefully reviewed the meeting proposal, and all 9 Directors voted on the meeting proposal. The number of voting participants and the convening and convening procedures of the meeting comply with the relevant provisions of the company law and the articles of association, and the resolutions made are legal and effective.

(I) deliberated and passed the proposal on appointing Juneyao Airlines Co.Ltd(603885) vice president
Upon the nomination of Mr. Zhao Hongliang, the president of the company, and the review of the nomination committee of the board of directors, it is agreed to appoint Mr. Liu Kaiyu (see the attachment for resume) as the vice president of the company. At the same time, Mr. Liu Kaiyu will no longer serve as the chief engineer of the company. The term of office starts from the date of deliberation and approval of the board of directors to the date of expiration of the current board of directors.

(II) the proposal on the appointment of Juneyao Airlines Co.Ltd(603885) chief engineer was deliberated and approved. After being nominated by Mr. Zhao Hongliang, President of the company, and reviewed by the nomination committee of the board of directors, it was agreed to appoint Mr. Zheng Xiaoming (see the appendix for resume) as the chief engineer of the company. The term of office starts from the date of deliberation and approval of the board of directors to the date of expiration of the current board of directors.

He used to be the PPC manager of the maintenance Engineering Department of China Xinhua Airlines Co., Ltd., the general manager of the Engineering Department of Aokai Airlines Co., Ltd. and the general manager of the Maintenance Engineering Department of the company. Now he is the chief engineer and assistant to the president of the company.
Zheng Xiaoming, male, born in 1978, Chinese nationality, without overseas residency. He graduated from Northwest University of technology with a master’s degree. He has successively served as the manager of the route maintenance department of Hongqiao base of the company’s maintenance engineering department, assistant to the general manager and deputy general manager of the maintenance Engineering Department. Now he is the general manager of the company’s maintenance engineering department.
