Allwinnertech Technology Co.Ltd(300458) (hereinafter referred to as “the company”) deliberated and adopted the proposal on the company’s application for comprehensive credit line from the bank at the 14th meeting of the 4th board of directors and the 13th meeting of the 4th board of supervisors held on March 24, 2022. According to the company law, the Listing Rules of Shenzhen Stock Exchange, the articles of association and other relevant provisions, this matter is within the approval authority of the board of directors of the company and does not need to be submitted to the general meeting of shareholders of the company for deliberation. Relevant matters are hereby announced as follows:
According to the company’s business development needs, better support the expansion of the company’s business and promote the sustainable development of the company. The board of directors agreed that the company applied to the bank for a comprehensive credit line of no more than RMB 1 billion. The comprehensive credit is valid for 2 years and can be recycled within the above limit. The credit content includes but is not limited to bank credit business such as issuing bank acceptance bill, issuing letter of credit outside China, commercial bill guarantee, import and export trade financing, non financing letter of guarantee, working capital loan and so on. The above credit line is not the actual financing amount of the company. The specific cooperative bank and the final financing amount and form will be further negotiated and determined with relevant banks in the future, subject to the officially signed agreement or contract.
The board of directors authorizes the chairman of the company to sign all contracts, agreements, vouchers and other legal documents related to the credit within the above credit line.
