As an independent director of Wuxi Apptec Co.Ltd(603259) (hereinafter referred to as “the company”), we have carefully verified the external guarantee of the company in 2021 in accordance with the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the guidelines for the supervision of listed companies No. 8 – regulatory requirements for capital exchanges and external guarantee of listed companies and other laws and regulations of the China Securities Regulatory Commission, Make the following special instructions:
1. In 2021, the company and its subsidiaries had no external guarantee. As of December 31, 2021, the company and its subsidiaries have no external guarantee;
2. In 2021, the company strictly followed the approval procedures and internal control system related to external guarantee in the Wuxi Apptec Co.Ltd(603259) articles of Association (hereinafter referred to as the “articles of association”), and there was no illegal external guarantee;
3. In 2021, the company will strictly comply with the relevant provisions of the Listing Rules of Shanghai Stock Exchange and the articles of association, fulfill the obligation of information disclosure of external guarantees, and truthfully provide all external guarantees to certified public accountants in accordance with the provisions.
