Independent opinion of

In accordance with the company law, the rules for independent directors of listed companies, the rules for the listing of shares on the growth enterprise market of Shenzhen Stock Exchange (revised in 2020), the self regulatory guidelines for listed companies on the Shenzhen Stock Exchange No. 2 – standardized operation of companies listed on the growth enterprise market and other relevant laws, regulations, normative documents and the articles of association, we are independent directors of Suzhou Sushi Testing Group Co.Ltd(300416) (hereinafter referred to as the “company”), With a serious and responsible attitude and after careful review of relevant materials, we hereby express the following independent opinions on the relevant matters considered at the 17th meeting of the Fourth Board of directors of the company:

1、 Independent opinions on Suzhou Sushi Testing Group Co.Ltd(300416) phase II employee stock ownership plan (Draft) and its abstract

After review, we believe that:

1. This ESOP complies with relevant laws, regulations and normative documents such as the company law, the securities law, the guiding opinions on the pilot implementation of ESOP by listed companies, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 2 – standardized operation of companies listed on GEM, and there is no situation in which the implementation of ESOP is prohibited by laws, regulations and normative documents, There is no situation that damages the interests of the company and all shareholders.

2. The employee stock ownership plan has fully solicited the opinions of employees through the employee congress. The implementation of the employee stock ownership plan is based on the principle of legal compliance, voluntary participation and risk-taking. There is no situation of compulsory employee participation by means of apportionment and forced distribution.

3. The implementation of this ESOP is conducive to establishing and improving the benefit sharing mechanism of employees and shareholders, mobilizing the enthusiasm and creativity of employees, realizing the full combination of the long-term development of the enterprise and the interests of employees, and promoting the long-term, sustainable and healthy development of the company.

4. The employee stock ownership plan (Draft) and its summary have been deliberated and adopted at the 17th meeting of the Fourth Board of directors of the company, the related directors have avoided voting, and the convening, convening and voting procedures of the board of directors comply with the provisions of relevant laws and regulations and the articles of Association.

Therefore, we unanimously agree to this ESOP and submit it to the first extraordinary general meeting of shareholders of the company in 2022 for deliberation.
