Independent opinions on the resignation of directors and general manager of the company
As an independent director of North Chemical Industries Co.Ltd(002246) (hereinafter referred to as “the company”), in accordance with the guidance on the establishment of independent director system in listed companies and other relevant laws and regulations issued by China Securities Regulatory Commission, we apologize to Mr. Deng Weiping for his resignation as a director of the Fourth Board of directors, a member of the strategy committee and the nomination committee of the board of directors The general manager of the company has checked and issued independent opinions as follows:
1. After verification, Mr. Deng Weiping applied for resignation as a director of the Fourth Board of directors, a member of the strategy committee of the board of directors, a member of the nomination committee and the general manager of the company due to work reasons. The reason for his resignation is consistent with the actual situation.
2. Mr. Deng Weiping resigned as a director of the Fourth Board of directors, a member of the strategy committee of the board of directors, a member of the nomination committee and the general manager of the company.
3. The resignation of Mr. Deng Weiping will not affect the normal operation and management of the company and will not have a significant adverse impact on the development of the company.
We agree that Mr. Deng Weiping will resign as a director of the Fourth Board of directors, a member of the strategy committee of the board of directors, a member of the nomination committee and the general manager of the company.
