Remuneration plan for directors and supervisors in 2022
Shenzhen Sinovatio Technology Co.Ltd(002912) (hereinafter referred to as "the company" or "the company") formulates the remuneration plan for directors and supervisors of the company in 2022 in accordance with relevant national laws and regulations, the articles of association, the working rules of the remuneration and assessment committee and other relevant systems, in combination with the actual operation of the company and with reference to the remuneration level of the industry and region.
1、 Applicable objects of this scheme
All directors (including independent directors) and supervisors during their term of office.
2、 Application period of this scheme
This plan shall come into effect from the date of adoption by the general meeting of shareholders of the company, and shall become invalid after the new salary plan is deliberated by the general meeting of shareholders.
3、 Salary standard
1. Non independent directors of the company do not receive director's allowance; The allowance for independent directors of the company is RMB 100000 / year (including tax); Non independent directors who serve as senior managers of the company receive remuneration in accordance with the company's remuneration management system.
2. Supervisors of the company do not receive supervisor allowance; The employee representative supervisor receives the salary according to the salary management system of the company.
4、 Other provisions
1. The allowance for independent directors is paid annually.
2. If the directors and supervisors of the company leave their posts due to the change of office or resignation during their term of office, the remuneration shall be calculated and paid according to their actual term of office.
3. The individual income tax related to the above salary shall be uniformly withheld and paid by the company.
