Announcement on resignation of directors and general manager

North Chemical Industries Co.Ltd(002246) (hereinafter referred to as “the company”) the board of directors received the resignation report of Mr. Deng Weiping, director and general manager of the company on March 15, 2022.
Due to work reasons, Mr. Deng Weiping applied for resignation from his position as a director of the Fourth Board of directors, a member of the strategy committee of the board of directors, a member of the nomination committee and the general manager of the company. After his resignation, Mr. Deng Weiping still served in the company. As of the disclosure date of this announcement, Mr. Deng Weiping did not hold shares of the company.
According to the relevant provisions of the company law and the articles of association, Mr. Deng Weiping’s resignation did not cause the number of members of the board of directors of the company to be lower than the minimum quorum, and would not have an impact on the operation of the board of directors and the operation of the company. The resignation report will take effect from the date it is delivered to the board of directors. The board of directors of the company will complete the addition of non independent directors and the appointment of senior executives as soon as possible in accordance with relevant regulations.
