Announcement of credit line
The company and all members of the board of directors guarantee that the information disclosed is true, accurate and complete without false records, misleading statements or major omissions.
Zhejiang Taitan Co.Ltd(003036) (hereinafter referred to as “the company”) held the 9th meeting of the 9th board of directors on March 15, 2022, deliberated and adopted the proposal on reviewing the company’s application for comprehensive credit line from the bank in 2022. The relevant contents are hereby announced as follows:
1、 Basic information of this application for comprehensive credit line
In order to meet the capital needs of the company’s daily production and operation, the company and its holding subsidiaries intend to apply to the bank for a comprehensive credit line with a total amount of no more than RMB 250 million. The validity period of the credit line is valid within 12 months from the date of deliberation and approval by the board of directors of the company. During the above validity period, the credit line can be recycled and used. Credit categories include but are not limited to long-term and short-term loans, bank acceptance bills, etc. for the company’s daily production and operation.
The specific comprehensive credit line, comprehensive credit form, purpose and other terms of each bank shall be subject to the final agreement signed between the company and its wholly-owned subsidiaries and each bank. The credit line can be adjusted between different banks within the scope of the total credit line, and the company and its wholly-owned subsidiaries can use the above comprehensive credit line.
The aforesaid comprehensive credit line is not equal to the actual financing amount of the company, and the actual financing amount shall be within the credit line, subject to the actual financing amount of the bank and the company.
2、 Approval procedures and authorization of this application for comprehensive credit line
At the 9th meeting of the 9th board of directors and the 9th meeting of the 9th board of supervisors held on March 15, 2022, the company deliberated and adopted the proposal on reviewing the company’s application for comprehensive credit line from the bank in 2022. The board of directors authorizes the legal representative of the company or its designated authorized agent to fully handle the matters required for the above credit and sign relevant contracts and documents.
3、 Opinions of independent directors
The company’s application for comprehensive credit line from the bank can meet the capital needs of the company’s production and operation, comply with the company’s development strategy and the interests of all shareholders, and will not have an adverse impact on the company’s normal operation and business development. The necessity of applying for comprehensive credit is sufficient, the purpose is legal and compliant, and the decision-making procedures and voting results of the board of directors in the above credit matters are legal and effective.
Therefore, we agree that the company applies to the bank for comprehensive credit line.
4、 Documents for future reference
1. Resolutions of the ninth meeting of the ninth board of directors of the company;
2. Resolutions of the ninth meeting of the ninth board of supervisors of the company;
3. Prior approval and independent opinions of the independent directors of the company on matters related to the resolutions of the ninth meeting of the ninth board of directors.
