Announcement on the remuneration scheme of directors, supervisors and senior managers of the company

Dalian Demaishi Precision Technology Co.Ltd(301007) (hereinafter referred to as “the company”) held the third meeting of the third board of directors and the third meeting of the third board of supervisors respectively on March 15, 2022. The meeting deliberated and adopted the proposal on the remuneration of directors, supervisors and senior managers of the company. 2、 Applicable period
It shall come into force after being deliberated and approved by the general meeting of shareholders of the company until the term of office of the third board of directors and the third board of supervisors expires.
3、 Compensation scheme
1. Directors’ remuneration scheme
(1) Directors who hold actual positions in the company will receive remuneration according to their actual positions in the company and relevant remuneration standards and performance appraisal of the company, and will not receive additional director allowance. Those who do not work in the company and do not receive the external director’s salary and allowance are not in the company.
(2) Independent Directors receive remuneration from the company in the form of fixed allowance, and the allowance standard is 72000 yuan / year (before tax).
2. Remuneration scheme for supervisors
Supervisors who hold actual positions in the company will receive remuneration according to their actual positions in the company and relevant remuneration standards and performance appraisal of the company, and will not receive additional supervisor allowance. Supervisors who do not hold actual positions in the company shall not receive remuneration in the company.
3. Senior management compensation scheme
The salary of senior managers consists of basic salary and performance salary. The salary standard is determined according to the basic principle of benchmarking industry and matching the market. It is implemented according to the salary standard of their actual positions in the company and linked to the business performance of the company.
4、 Other provisions
1. The remuneration standard of directors, supervisors and senior managers who concurrently hold different positions shall be determined according to the principle of higher remuneration;
2. If the directors and supervisors of the company leave their posts due to the change of office, re-election, resignation within the term of office and other reasons, they shall be calculated and paid according to their actual term of office.
5、 Opinions of independent directors
The remuneration scheme of the company’s directors, supervisors and senior managers is in line with the company’s actual operation and industry remuneration level, and the remuneration is reasonable. The review procedure complies with the provisions of the articles of association and relevant laws and regulations, and there is no situation that damages the interests of the company and its shareholders, especially small and medium-sized shareholders. Agree to the proposal and submit it to the 2021 annual general meeting of shareholders of the company for deliberation.
