The 19th meeting of the second board of directors of Beijing Beimo High-Tech Frictional Material Co.Ltd(002985) (hereinafter referred to as “the company”) deliberated and adopted the proposal on the appointment of senior managers of the company, and now the situation is announced as follows:
In order to further enrich the strength of the company’s operation and management and promote the long-term and steady development of the company, Ms. Wang Shumin, chairman and general manager, will continue to serve as chairman, special committee of the board of directors and other relevant positions after leaving the post of general manager. The board of directors of the company agreed to appoint Mr. Zhang Tianchuang as the general manager and Mr. Yang Changkun and Mr. Zheng Zhen as the deputy general managers, with a term of office from January 1, 2022 to the expiration of the term of office of the current board of directors. The independent directors expressed their independent opinions. The resumes of Mr. Zhang Tianchuang, Mr. Yang Changkun and Mr. Zheng Zhen are detailed in the annex.
After the appointment of senior managers, the total number of directors who concurrently serve as senior managers and staff representatives in the board of directors of the company will not exceed half of the total number of directors of the company, and the employment situation will comply with the provisions of relevant laws, regulations and normative documents.

Mr. Zhang Tianchuang, born in 1980, is a member of the Communist Party of China, Chinese nationality and has no permanent right of residence abroad. He graduated from the National Defense University of the Chinese people’s Liberation Army with a master’s degree. He once worked in the headquarters of the services and won many meritorious awards. He is now the deputy general manager of Beijing Beimo High-Tech Frictional Material Co.Ltd(002985) company and the chairman of Beijing jinghanyu Electronic Engineering Technology Co., Ltd., a holding subsidiary. As of the date of this meeting, Mr. Zhang Tianchuang did not hold shares of the company. Mr. Zhang Tianchuang is the actual controller of the company, the daughter of Ms. Wang Shumin, the chairman and the spouse of Wang Fei, the Secretary of the board of directors of the company. There is no affiliated relationship with other shareholders holding more than 5% of the company’s shares, other directors, supervisors and senior managers of the company.
Mr. Zhang Tianchuang is not allowed to be nominated as a senior manager of a listed company: there is no violation of Article 146 of the company law; There is no case that the CSRC has taken measures to prohibit entry into the securities market and the period has not expired; There is no situation that the stock exchange publicly determines that it is not suitable to serve as a director, supervisor and senior manager of a listed company, and the term has not expired; No administrative penalty imposed by the CSRC in the last three years; No self regulatory measures or disciplinary actions taken by the stock exchange in the last three years; There is no case where the case is filed for investigation by the judicial organ for suspected crime or the case is filed for investigation by the CSRC for suspected violation of laws and regulations, and there is no clear conclusion; After inquiry, it is not the person who has broken his promise. Mr. Yang Changkun, born in July 1984, is a member of the Communist Party of China, Chinese nationality, has no permanent right of residence abroad, holds a master’s degree from Tsinghua University, and is now the deputy chief engineer of Beijing Beimo High-Tech Frictional Material Co.Ltd(002985) company. He joined Beijing Beimo High-Tech Frictional Material Co.Ltd(002985) company in April 2009 and successively served as technician, project manager and deputy chief engineer.
Main achievements: since joining Beijing Beimo High-Tech Frictional Material Co.Ltd(002985) company in 2009, he has participated in and undertaken the research and development of landing gear system, aircraft brake system and aircraft brake disc of fighter, bomber, transport aircraft, civil aircraft and other models of aircraft.
He has won the “third prize of Beijing Science and technology” for many times; In 2021, it won the honorary title of “capital may day labor medal”.
