1、 Description of progress
1. Anhui Expressway Company Limited(600012) (hereinafter referred to as “the company”) deliberated and adopted the proposal on participating in the acquisition of overseas assets and related party transactions at the 17th meeting of the eighth board of directors, and signed the share purchase agreement with the seller on December 23, 2019. For details of the matter, please refer to the website of China Securities Journal, Shanghai Securities News and Shanghai Stock Exchange published by the company on December 24, 2019（ http://www.sse.com.cn./ ）And the announcement of Anhui Expressway Company Limited(600012) on participating in the formation of a consortium to jointly acquire overseas assets and related party transactions on the company’s website.
2. After the signing of the share purchase agreement, all parties to the transaction actively promoted the acquisition. However, in view of the fact that the parties to the transaction have not reached a consensus on the relevant provisions of the refinancing arrangement (which should take effect immediately at the closing of the acquisition), and the preconditions for the transaction under the share purchase agreement have not been fully completed, the parties to the transaction decided to terminate the acquisition through friendly negotiation. In view of this, the company held the 17th meeting of the ninth board of directors on January 27, 2022, deliberated and approved the proposal on terminating the related party transaction between the company and the consortium to acquire overseas assets, and agreed that the company and China Merchants Expressway Network Technology Holdings Co.Ltd(001965) , China Merchants joint development Co., Ltd., Zhejiang Huhang Ningbo Expressway Co., Ltd Jiangsu Expressway Company Limited(600377) and Sichuan Expressway Company Limited(601107) and other consortium parties terminate the acquisition of ICA IC in Turkey İ ÇTA Ş ASTALDI Üçüncü Bo ğ az Köprüsü ve Kuzey Marmara Otoyolu Yat ı r ı m ve İş letme A. Ş. (hereinafter referred to as “ICA company”) 51% equity, 51% shareholder loans from the original shareholders of ICA company and 51% equity of Eurasia motorway maintenance and Operations Limited (i.e. the company of transport nutrition protection) located in Hong Kong. All parties to the transaction have jointly signed the agreement on termination of purchase on March 9, 2022
