Anhui Xinbo Aluminum Co.Ltd(003038) (hereinafter referred to as ” Anhui Xinbo Aluminum Co.Ltd(003038) ” or “the company”) intends to make a non-public offering of shares to specific objects (hereinafter referred to as “this non-public offering”), and Mr. Tang Kaijian, the controlling shareholder and actual controller of the company, is one of the subscription objects of this non-public offering of shares, The “commitment on not reducing the shares of Listed Companies in a specific period” is issued on the issue of not reducing the shares of Listed Companies in a specific period. The specific contents are as follows:
1. From six months before the pricing benchmark date of this non-public offering to 18 months after the completion of this offering, I have not reduced my holdings of Anhui Xinbo Aluminum Co.Ltd(003038) shares or other equity securities, nor have I any plans to reduce my holdings of Anhui Xinbo Aluminum Co.Ltd(003038) shares or other equity securities.
2. After the expiration of the above-mentioned Anhui Xinbo Aluminum Co.Ltd(003038) period of no reduction, I will strictly abide by the relevant provisions and requirements on shareholders’ reduction of shares, such as the securities law, several provisions on the reduction of shares by shareholders, directors, supervisors and senior managers of listed companies, and the implementation rules for the reduction of shares by shareholders, directors, supervisors and senior managers of listed companies of Shenzhen Stock Exchange.
