Guangdong Kinlong Hardware Products Co.Ltd(002791) (hereinafter referred to as “the company”) the 22nd Meeting of the third board of directors was held on March 9, 2022 in the form of on-site combined communication. As an independent director of the company, we attended the meeting. In accordance with the relevant provisions of the rules for independent directors of listed companies, the guidelines for the governance of listed companies, the articles of association and the company’s working rules for independent directors, and based on the position of independent judgment, we express the following independent opinions on the relevant proposals considered at this meeting:
After verification, we believe that the nomination procedures of the candidates for the Fourth Board of directors of the company comply with the provisions of the company law, the articles of association and other normative documents. The candidates for directors of the Fourth Board of directors meet the conditions for serving as directors and independent directors of listed companies, and are competent for the responsibilities of the positions they are employed. There are no circumstances in which they are not allowed to serve as directors or independent directors as stipulated in the company law, the rules for independent directors of listed companies and the articles of association. We agree that the board of directors of the company nominate Bai Baokun, Yan Guilin, Chen Ping, Bai Baoping, Wang Xiaoli, Yin Jianzhong and Zhao Jian as candidates for non independent directors of the Fourth Board of directors of the company; It is agreed that the board of directors of the company nominate Wang Lijun, Gao Gang, Zhao Zhengting and Xu Huaibin as candidates for independent directors of the Fourth Board of directors.
