1、 Investment overview
In order to further improve the company’s independent R & D capability, keep up with the wave of localization in the software industry, and seize the opportunity of the era of open source technology dividends and interconnection of all things, Talkweb Information System Co.Ltd(002261) (hereinafter referred to as “the company” or ” Talkweb Information System Co.Ltd(002261) “) plans to invest in the establishment of a wholly-owned subsidiary “Hunan kaihong Zhigu Digital Industry Development Co., Ltd. (subject to the final approval and registration by the administrative department for Industry and Commerce). The company will build an industry distribution operating system based on open source Hongmeng, with a registered capital of 200 million yuan.
On December 26, 2021, the company held the 16th meeting of the 7th board of directors, deliberated and adopted the proposal on investment and establishment of wholly-owned subsidiaries.
The above foreign investment does not constitute a connected transaction, nor does it constitute a major asset reorganization as stipulated in the measures for the administration of major asset reorganization of listed companies. According to the articles of association, measures for the administration of foreign investment and other relevant provisions, the above foreign investment does not need to be submitted to the general meeting of shareholders for deliberation and approval.
