Xinjiang Beixin Road & Bridge Group Co.Ltd(002307) (hereinafter referred to as “the company”) ）The notice on convening the 16th meeting of the 6th board of supervisors was sent to all supervisors in the form of SMS and e-mail on December 10, 2021. The meeting was held in the form of on-site and video conference on December 14, 2021. There are 5 supervisors who should vote and 5 supervisors who actually vote. The meeting is presided over by Mr. Zhang Dawei, chairman of the board of supervisors. The convening, convening and voting procedures of the meeting shall comply with the relevant provisions of the company law and the articles of association. The supervisors present at the meeting considered and adopted the following resolutions by show of hands:
1、 Deliberated and passed the proposal on introducing investors to implement market-oriented debt to equity swap for capital increase of subsidiaries, and agreed to submit the proposal to the sixth extraordinary general meeting of shareholders of the company in 2021 for deliberation;
After review, the board of supervisors agreed that China Cinda Asset Management Co., Ltd. should increase capital and shares of Xinjiang Beixin investment and Construction Co., Ltd. and Xinjiang production and Construction Corps Transportation Construction Co., Ltd. in cash. The total amount of capital increase shall not exceed 499 million yuan, and all the capital increase will be used to repay the respective stock financial liabilities of the target company.
