(“sulikang”), the holding subsidiary of the company, plans to increase its capital and shares and transfer some old shares by introducing social capital. The capital increase and share expansion and the transfer of old shares are based on the pre investment valuation of no less than 137 million yuan. The planned capital increase is no less than 60 million yuan and the transfer of old shares is no less than 476502 million yuan.
The announcement shows that the capital and share increase plan is to better implement the strategy of “focus, slimming and optimization” and promote the development of big health business. According to the implementation plan of this capital increase and share expansion and old share transfer of sulikon, if the capital increase and share expansion and old share transfer are completed according to the above conditions, the shareholding ratio of Zhejiang Hisun Pharmaceutical Co.Ltd(600267) to sulikon will be reduced to 39.15%. At the same time, Zhejiang Hisun Pharmaceutical Co.Ltd(600267) will not account for the majority of sulikon’s board of directors and have no actual control, and Zhejiang Hisun Pharmaceutical Co.Ltd(600267) will no longer consolidate sulikon’s statements.
