Zhejiang Hisun Pharmaceutical Co.Ltd(600267) holding subsidiary plans to increase capital and share and transfer old shares

6 Western Securities Co.Ltd(002673) announced that Zhejiang Haizheng sulikang Biotechnology Co., Ltd. (“sulikang”), the holding subsidiary of the company, plans to increase its capital and shares and transfer some old shares by introducing social capital. The capital increase and share expansion and the transfer of old shares are based on the pre investment valuation of no less than 137 million yuan. The planned capital increase is no less than 60 million yuan and the transfer of old shares is no less than 476502 million yuan.

The announcement shows that the capital and share increase plan is to better implement the strategy of “focus, slimming and optimization” and promote the development of big health business. According to the implementation plan of this capital increase and share expansion and old share transfer of sulikon, if the capital increase and share expansion and old share transfer are completed according to the above conditions, the shareholding ratio of Zhejiang Hisun Pharmaceutical Co.Ltd(600267) to sulikon will be reduced to 39.15%. At the same time, Zhejiang Hisun Pharmaceutical Co.Ltd(600267) will not account for the majority of sulikon’s board of directors and have no actual control, and Zhejiang Hisun Pharmaceutical Co.Ltd(600267) will no longer consolidate sulikon’s statements.

It is reported that the capital increase will be used to carry out the research and development of new products with high investment and high added value, improve the product pipeline and enhance the product power of the enterprise; Introduce talents in high-end market and sales to improve the sales force of the enterprise; Carry out the upgrading and transformation of production lines to improve the manufacturing capacity of enterprises, so as to improve the overall profitability of enterprises. In addition, the funds obtained from the transfer of some old shares of sulikon are mainly used to supplement the working capital required for operation, optimize the asset structure and further reduce the company’s debt ratio.
