Announcement on independent directors obtaining the qualification certificate of independent directors

Zangge Mining Co., Ltd. (hereinafter referred to as “the company”) held the fourth extraordinary general meeting of shareholders in 2020 on December 31, 2020, deliberated and adopted the proposal on by election of independent directors of the company, and elected Mr. Wang Zuoquan as an independent director of the eighth board of directors of the company, with a term of office consistent with that of the eighth board of directors.
As of the date of issuing the notice of the fourth extraordinary general meeting of shareholders in 2020, Mr. Wang Zuoquan has not obtained the qualification certificate of independent director. According to the relevant provisions of the filing measures for independent directors of Shenzhen Stock Exchange, Mr. Wang Zuoquan has made a written commitment to participate in the latest independent director training and obtain the qualification certificate of independent directors recognized by Shenzhen Stock Exchange.
Recently, the board of directors of the company received a notice from Mr. Wang Zuoquan, an independent director. Mr. Wang Zuoquan has participated in the training course for independent directors of listed companies held by Shenzhen Stock Exchange and obtained the qualification certificate for independent directors of listed companies issued by Shenzhen Stock Exchange.
