Chapter I General Provisions

Article 1 in order to further improve the salary management of Guangdong Mingzhu Group Co.Ltd(600382) (including the holding subsidiary of the company, hereinafter referred to as “the company”), comprehensively assess the employees’ remuneration based on the indicators of employees’ post responsibility, work performance, work attitude and work skills, establish an incentive mechanism based on post value and guided by performance appraisal, and appropriately provide incentives to employees with high business risk, heavy responsibility, high technical content This system is formulated by giving priority to positions with quantitative work indicators, mobilizing employees’ work enthusiasm and taking into account the stability of employees.

Article 2 this system is applicable to the company’s employees (excluding directors, supervisors and senior managers).

Article 3 principle of salary confidentiality: employees shall keep the salary information they have confidential.

Article 4 the administrative human resources department is the management department of the company’s employee salary, which is responsible for formulating the employee salary scheme of the company’s headquarters, accounting the salary, and implementing the salary adjustment decision. The salary management system of the employees of the holding subsidiary shall be drafted by the operation team of the holding subsidiary and reported to the president’s office meeting of the company for approval before implementation.

Chapter II salary structure

Article 5 employee compensation consists of monthly base salary and year-end performance bonus.

Article 6 the monthly base salary of employees consists of basic salary, post salary, performance salary and various allowances:

1. Basic wage: refer to the current minimum wage standard of Meizhou city or the region where the holding subsidiary is located.

2. Post salary: comprehensively assess the remuneration of employees with indicators such as post responsibility, post value, work performance, work attitude and work skills, and appropriately tilt to posts with high business risk, great responsibility, high technical content and quantitative work indicators.

3. Performance salary: determined according to monthly performance appraisal.

4. Various allowances: including driving allowance, overtime allowance, etc.

Article 7 the establishment and change of post salary standard and the determination of performance appraisal scheme and various allowance standards shall be reviewed and approved by the president’s office meeting of the company.

Chapter III salary payment and accounting

Article 8 salary payment:

1. Pay the employee the base salary of the previous month before the 15th day of each month.

2. In accordance with relevant national policies and relevant regulations of the company, the company withholds the following expenses when paying salaries to employees every month:

1) Personal income tax of employees;

2) The housing accumulation fund that should be borne by the employees themselves;

3) Social security expenses that should be paid by employees;

4) The amount that should be deducted from the salary according to laws, regulations and relevant systems of the company.

Article 9 Accounting of employees’ monthly salary

According to the monthly base salary, attendance and monthly assessment of employees, the accounting is carried out according to the company’s personnel management system and relevant systems of holding subsidiaries, as follows:

1. Daily wage accounting

The daily wage standard of employees shall be calculated according to the national legal average working days per month.

2. Hourly salary accounting

Hourly salary = monthly base salary / 21.75/8

3. Salary accounting of sick leave and personal leave

Sick leave and personal leave salary deduction = hourly salary × Absence hours.

Sick leave salary: sick leave within the specified medical period will be given a sick leave subsidy after deducting the monthly salary. The daily sick leave subsidy standard will be based on the minimum wage standard of Meizhou city or the region where the holding subsidiary is located × 0.8/21.75 issued. If the sick leave exceeds half a year, the living allowance shall be paid according to the relevant documents of Meizhou city or the region where the holding subsidiary is located.

4. The overtime and duty expenses of employees shall be counted on a monthly basis and included in the monthly base salary.

5. All kinds of subsidies and allowances are included in the monthly base salary according to the management methods of various subsidies of the company and its holding subsidiaries. 6. The monthly performance salary is determined according to the monthly performance appraisal results and included in the monthly base salary.

7. Employees who meet the regulations on paid leave shall be paid monthly base salary according to their normal attendance.

Article 10 according to the results of the company’s annual salary survey, the company’s benefits, the minimum wage standard and price level in Meizhou city or the region where the holding subsidiary is located, the salary of employees can be generally adjusted after being deliberated and approved by the president’s office meeting of the company.

Chapter IV employee welfare

Article 11 employee benefits include social security, provident fund, paid leave and various subsidies paid by the company.

1. Social security premium paid by the company: according to the monthly base salary of employees and referring to the social insurance policies of Meizhou city or the region where the holding subsidiary is located, the payment base shall be turned over to five types of insurance: endowment insurance, medical insurance, industrial injury insurance, unemployment insurance and maternity insurance.

2. Provident fund paid by the unit: it shall be paid according to the relevant provisions of the state and the proportion specified by the provident fund management center of Meizhou city or the region where the holding subsidiary is located.

3. Paid leave: implemented in accordance with the company’s personnel management system and relevant systems of holding subsidiaries.

Chapter V supplementary provisions

Article 12 the right to interpret this system belongs to the board of directors of the company and shall be implemented from the date of promulgation. At the same time, the Guangdong Mingzhu Group Co.Ltd(600382) salary system plan (2012) shall be abolished.
