Independent opinions on the appointment of the company’s chief financial officer and chief talent Officer
Midea Group Co.Ltd(000333) (hereinafter referred to as “the company” or “the company”) held the fifth meeting of the Fourth Board of directors on February 22, 2022, and considered the proposal on the appointment of the company’s chief financial officer and the proposal on the appointment of the company’s chief talent officer. As an independent director of the company, in accordance with the rules for independent directors of listed companies, the guidelines for the governance of listed companies and other laws and regulations and the relevant provisions of the articles of association, we have carefully reviewed the above proposals and hereby express our independent opinions as follows:
1. After reviewing the personal resumes of Ms. Zhong Zheng and Ms. Zhao Wenxin, we believe that their qualifications meet the provisions of the company law and the articles of association on the qualifications of senior executives;
2. The nomination procedures for the appointment of senior executives by the company and the deliberation procedures for the appointment of senior executives by the board of directors comply with the relevant provisions of the company law and the articles of Association;
3. After knowing the educational background, work experience and physical condition of Ms. Zhong Zheng and Ms. Zhao Wenxin, they are competent for the responsibilities of the corresponding positions of the company, which is conducive to the development of the company;
4. We agree that the board of directors shall appoint Ms. Zhong Zheng as the chief financial officer of the company and Ms. Zhao Wenxin as the chief talent officer of the company.
