Luxshare Precision Industry Co.Ltd(002475) (hereinafter referred to as “the company”) in strict accordance with the relevant provisions and requirements of the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the stock listing rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock exchange No. 1 – standard operation of listed companies on the main board and the articles of association, Continuously improve the corporate governance structure, improve the standard operation level of the company, and promote the sustainable, stable and healthy development of the company. The company plans to apply to the China Securities Regulatory Commission for non-public offering of shares. According to the requirements of the regulatory authorities, the relevant punishment or regulatory measures and rectification issued by the securities regulatory authorities and Shenzhen Stock Exchange to the company in the past five years are described as follows:

In the past five years, the company has received a supervision letter from Shenzhen Stock Exchange (hereinafter referred to as “Shenzhen Stock Exchange”), as follows:
On December 28, 2021, the company received the supervision letter on Luxshare Precision Industry Co.Ltd(002475) issued by Shenzhen Stock Exchange (company department supervision letter [2021] No. 220). The main contents: on December 3, 2021, your company disclosed the announcement on adjusting the exercise number of 2018 stock option incentive plan and canceling some stock options, including the total number of stock options to be cancelled Inaccurate data such as the number of stock options exercisable by the incentive object leads to errors in your company’s handling of relevant option cancellation and registration business. Your company made supplementary corrections on December 13 and December 24 respectively. The above acts of your company violate the provisions of articles 1.4 and 2.1 of the stock listing rules of the exchange. Please pay full attention to the above problems, draw lessons and rectify them in time to prevent the recurrence of the above problems.
Rectification measures:
The company attached great importance to the matters involved in the above regulatory letter, organized senior leaders such as the chairman of the company and the Secretary of the board of directors to conduct self-examination with the Securities Department of the company, and took the following corrective measures:
1. Strengthen the training of relevant staff, clarify the internal error correction assessment mechanism, include the number of personal errors in the annual performance assessment, and prevent the recurrence of low-level errors;
2. Improve the work flow of information disclosure, improve the internal review mechanism, further clarify the responsibilities and assessment indicators of the handler and reviewer, and avoid errors in the company’s disclosure;
3. Hold regular internal meetings to learn the latest laws and regulations, review daily mistakes and constantly sum up experience.
