1、 Overview of agreement signing
Recently, Guangdong No.2 Hydropower Engineering Company Ltd(002060) (hereinafter referred to as “the company”) signed the strategic cooperation framework agreement with Wuhai Municipal People’s Government of Inner Mongolia Autonomous Region and Jiangsu Xingbang Energy Technology Co., Ltd. (hereinafter referred to as “Xingbang technology”). Give full play to Wuhai’s huge energy treasure house and broad application scenarios, give full play to the leading role of Xingbang science and technology in hydrogen energy technology innovation, and give full play to the company’s advantages in hydropower, wind power, photovoltaic construction and industrial park construction, so as to build Wuhai into a national important industrial base for hydrogen energy innovation and R & D, equipment manufacturing and demonstration application, Help Wuhai actively cultivate and expand new energy industry and build a clean, low-carbon, safe and efficient energy system.
The main contents of investment in hydrogen power industry chain are as follows:
(I) establish an international academician future zero hydrocarbon energy science and innovation center. Set up the international top standard high-end materials and hydrogen energy equipment laboratory, break through the research and development of “neck” technology in the field of hydrogen energy, improve the manufacturing technology level of key parts, and realize the independent control of patented equipment, materials and products. Organize the establishment of an international cooperation and exchange industry university research base in Wuhai City with international well-known universities and scientific research institutions such as watreloo University in Canada, cultivate talents and gather a group of elite experts in the international hydrogen energy industry. (1) Under the condition of meeting relevant laws, regulations and policy conditions, Wuhai Municipal People’s government agrees to fully support Xingbang technology and the company to settle down and invest in the “Xingbang hydrogen and electricity industry chain Wuhai project” in Wuhai City, and create and provide a good investment environment and incentive policies for Xingbang technology and the company, such as reporting support for new energy indicators required for large-scale investment. Take Xingbang technology and company as strategic partners for long-term, stable and key projects. Wuhai Municipal People’s government gives priority to supporting and encouraging enterprises and institutions within Wuhai City to purchase and use Xingbang technology, products and services for heavy trucks that Wuhai City plans to replace before the end of the 14th five year plan, provided that they meet relevant laws, regulations and policy conditions.

2. Rights and obligations of Xingbang technology and the company
(1) The projects built by Xingbang technology and the company must adapt to the development plan of hydrogen energy industry in Wuhai City, and must meet the policy requirements of the state, Inner Mongolia Autonomous Region and Wuhai City. The project construction, process design and process flow must comply with the national policies and regulations on environmental protection and safe production.
(2) Xingbang technology and the company promise that the company registered for the project is an independent legal person company, registered in Wuhai City, and pays taxes on all business activities such as R & D, production, manufacturing and sales.
(3) Xingbang technology promises to be responsible for introducing foreign technical experts and increasing technology transfer and achievement transformation; Focus on the technological innovation of hydrogen energy industry, accelerate the R & D and industrialization of hydrogen fuel cell technology, achieve breakthroughs in the R & D of relevant basic materials, core parts and key technologies, realize the localization and localization of core technologies and products, and help Wuhai build a regional talent highland in the field of carbon neutral hydrogen energy.
(4) Xingbang Technology Co., Ltd. assisted Wuhai City to open up the whole hydrogen energy industry chain and build a full life cycle service ecosystem for hydrogen fuel cell products from R & D, manufacturing, sales, use and maintenance.

1. The parties agree to establish a project leading group within 10 working days after the agreement comes into force. Relevant leaders of Wuhai municipal Party committee and municipal people’s government will serve as the leader of the leading group, and senior managers of Xingbang technology and the company will participate in the project leading group. The three parties will establish an irregular meeting mechanism and daily communication and coordination mechanism between relevant leaders to coordinate and lead the overall work of project planning and construction, Establish the whole life cycle service mechanism of the project.
2. For the specific investment cooperation of the project and the specific rights and obligations of each party, each party shall designate its subordinate departments or enterprises to sign a legally binding investment cooperation agreement according to the agreement and spirit of this framework agreement.

The agreement shall come into force from the date when the legal representatives or authorized representatives of all parties sign and affix their official seals. The validity period is 5 years. 2. The performance of the agreement will not affect the independence of the company’s business, and the company’s main business will not rely on Wuhai Municipal People’s government and Xingbang technology due to the performance of the agreement.
