Independent opinions of independent directors on relevant matters of the company
As an independent director of Beijing Orient Landscape & Environment Co.Ltd(002310) (hereinafter referred to as the “company”) in accordance with the relevant provisions of the guiding opinions on the establishment of independent director system by listed companies, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, the articles of association, the independent director system and other relevant rules and regulations, Based on our independent judgment, we express the following independent opinions on the relevant matters considered at the 20th meeting of the seventh board of directors of the company:
1、 Independent opinions on the election of Mr. Liu Xiaofeng as a candidate for the seventh board of directors
1. The nomination and voting procedures for the election of Mr. Liu Xiaofeng as the director candidate of the seventh board of directors by the board of directors of the company comply with the relevant provisions of the company law, the articles of association and other laws and regulations, which are legal and effective;
2. After reviewing Mr. Liu Xiaofeng’s educational background and work experience, we believe that Mr. Liu Xiaofeng meets the qualifications of directors of listed companies, and there is no situation that Mr. Liu Xiaofeng has been determined as a market prohibited person by China Securities Regulatory Commission and has not been lifted, nor is there any condition that Mr. Liu Xiaofeng is prohibited from taking office in the company law and the articles of association.
3. Agree to elect Mr. Liu Xiaofeng as a candidate for the seventh board of directors.
2、 Independent opinions on the appointment of the president of the company
1. This appointment is conducted on the basis of fully understanding the identity, education, occupation and professional quality of the employed person, and has obtained the consent of the employed person. The employed person has the qualification and ability to serve as the senior management of the company. It is not found that the company law stipulates that it is not allowed to serve as senior managers of the company, nor is it determined by the CSRC that it is prohibited from entering the market and has not been lifted.
2. Agree to appoint Mr. Liu Xiaofeng as the president of the company.
