Independent opinions of independent directors on the appointment of the company’s chief accountant
In accordance with the provisions of the company law, the securities law, the rules for independent directors of listed companies and other relevant systems, as independent directors of the 10th board of directors of Fiyta Precision Technology Co.Ltd(000026) (hereinafter referred to as the “company”), based on independent judgment and careful research, we hereby express independent opinions on the appointment of the general accountant of the company as follows:
1. The qualification of the newly hired chief accountant of the company is legal. After reviewing Mr. Song YaoMing’s personal resume, it is not found that he is not allowed to serve as a senior manager of the company according to the company law and other laws and regulations, nor is he determined to be a market prohibited person by the CSRC and the prohibition has not been lifted. His qualification meets the relevant provisions of the company law and other laws and regulations and the articles of Association;
2. The appointment procedure of the company’s newly hired chief accountant complies with the provisions of relevant laws and regulations, and there is no damage to the rights and interests of the company and minority shareholders;
3. The newly hired chief accountant of the company has the professional knowledge, work experience and management ability corresponding to the exercise of his / her functions and powers, meets the requirements of performing relevant duties, and is competent for relevant work.
In conclusion, we believe that Mr. Song YaoMing’s qualifications, appointment procedures and working ability meet the relevant regulations, and agree to appoint Mr. Song Yaoming as the chief accountant of the company.
