Announcement on the change of senior management of the company

1、 Resignation of senior management
1. The board of directors of Poten Environment Group Co.Ltd(603603) (hereinafter referred to as “the company”) recently received the resignation report of Mr. Xue Liyong, senior vice president of the company. For personal reasons, Mr. Xue Liyong applied to resign as senior vice president of the company. After his resignation, Mr. Xue Liyong will no longer hold any position in the company. According to the company law, the articles of association and other relevant provisions, Mr. Xue Liyong’s resignation report shall take effect from the date when it is delivered to the board of directors. The company and its board of directors express their heartfelt thanks to Mr. Xue Liyong for his diligent work during his tenure.
2. The board of directors of the company recently received the resignation report of Ms. Zhang Lei, Secretary of the board of directors of the company. Due to job adjustment, Ms. Zhang Lei applied to resign as secretary of the board of directors of the company. After resignation, Ms. Zhang Lei continued to serve as vice chairman and director of the company. In accordance with the company law, the articles of association and other relevant provisions, Ms. Zhang Lei’s resignation report shall take effect from the date of delivery to the board of directors. The company and the board of directors of the company express their heartfelt thanks to Ms. Zhang Lei for her diligent work as the Secretary of the board of directors.
2、 Appointment of senior managers
The company held the fourth meeting of the Fourth Board of directors on January 27, 2022, and deliberated and passed the proposal on the appointment of the company’s senior vice president and the proposal on the appointment of the company’s chief financial officer. According to the needs of the company’s business development, the board of directors agreed to appoint Ms. Sun Chen (see the appendix for the brief history) as the company’s senior vice president, Mr. Zhao Qing (see the appendix for resume) is appointed as the chief financial officer of the company. The term of office starts from the date of deliberation and approval of the board of directors to the date of expiration of the Fourth Board of directors. Ms. Gao Feng, senior vice president of the company, will no longer act as chief financial officer. According to the relevant provisions of the Listing Rules of Shanghai Stock Exchange, during the vacancy period of the Secretary of the board of directors of the company, Ms. Sun Chen, the senior vice president of the company, will temporarily act as the Secretary of the board of directors. At the same time, the company has determined Ms. Sun Chen as the candidate for the new secretary of the board of directors. Ms. Sun Chen will participate in the qualification training of the Secretary of the board of directors recently held by Shanghai Stock Exchange. The company will complete the appointment of the Secretary of the board of directors as soon as possible after Ms. Sun Chen obtains the qualification certificate of the Secretary of the board of directors.
The nomination committee of the fourth session of the board of directors reviewed the nomination and qualification of the senior managers appointed this time, and found that the nomination procedures were in line with the relevant provisions of the articles of association, and the above-mentioned personnel met the qualifications of the senior managers of the company. The independent directors of the company have expressed their independent opinions on the proposal of appointing senior managers.

Mr. Zhao Qing, born in 1964, Chinese nationality, without permanent overseas residency, graduated from Beijing Institute of economics with a bachelor’s degree in economics.
